I do not understand shellmod, too, but the debian package of newvserver
has its own version anyway.
I did only quick testing of --with-vrootdir and it seems to work pretty
well.
I've debianized util-vserver and will contact Ola Lundquist, the
debian maintainer of the vserver package.
